A six-stage governance protocol.

Norven's director onboarding follows a written sequence refined across more than a decade of cross-border practice. No stage advances without documented completion of the prior stage.

  1. IStage 1

    Engagement Agreement

    Mandate scope, fee schedule, and governance framework executed under a written, confidential engagement agreement.

  2. IIStage 2

    Compliance Review

    Client business activity, jurisdiction, and beneficial ownership are reviewed. High-risk or non-compliant mandates are declined.

  3. IIIStage 3

    Due Diligence

    Identity verification, sanctions screening, regulatory history, and conflicts cleared before any appointment is advanced.

  4. IVStage 4

    Governance Documentation

    Board resolutions, indemnification agreements, D&O policy, and consent of nominee prepared and executed.

  5. VStage 5

    Formal Appointment

    State filings effected, registered agent updated, and minute book opened with the first board action recorded.

  6. VIStage 6

    Continuous Oversight

    Quarterly board cycles, annual regulatory review, and an advisory partner of record throughout the engagement.

Indicative Mandate Timeline

Approximately three to six weeks from engagement to seated board, subject to compliance review.
